1. Acceptance of Terms

By accessing and using the Grandstand Racing website (www.grandstandracing.com.au) and any related services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not use our website or Services. Grandstand Racing Pty Ltd (ABN pending) ("we", "us", "our") reserves the right to modify these Terms at any time.

2. Description of Services

Grandstand Racing provides a platform for individuals to participate in racehorse ownership syndicates. Our Services include providing information about available syndicates, facilitating membership registrations, managing syndicate operations, and delivering member experiences including VIP hospitality and celebrity partnerships. The specific terms of each syndicate are set out in the relevant Product Disclosure Statement (PDS) or syndicate agreement.

3. Eligibility

You must be at least 18 years of age to use our Services or participate in a syndicate. By using our website, you represent and warrant that you meet this age requirement and have the legal capacity to enter into binding agreements. Syndicate participation may be subject to additional eligibility requirements as specified in the relevant syndicate documentation.

4. Syndicate Membership

Participation in a Grandstand Racing syndicate is subject to the following conditions:

• Membership is subject to availability and acceptance by Grandstand Racing.
• All membership fees, including initial contributions and ongoing monthly fees, must be paid in accordance with the selected tier.
• The ownership structure follows the 5/10/85 model: 5% celebrity partner, 10% Grandstand Racing, and 85% members.
• Prize money is distributed proportionally based on each member's ownership percentage.
• Members do not have direct control over training, racing, or management decisions relating to the horse.

5. Fees and Payment

Membership fees comprise an initial contribution and ongoing monthly fees as outlined for each tier (Bronze, Silver, Gold, or Platinum). Monthly fees cover training, agistment, veterinary care, insurance, race entry fees, and management costs. All fees are quoted in Australian dollars and are inclusive of GST where applicable. We reserve the right to adjust monthly fees with reasonable notice to reflect changes in the cost of maintaining and racing the horse.

6. Intellectual Property

All content on the Grandstand Racing website, including text, graphics, logos, images, and software, is the property of Grandstand Racing Pty Ltd or its licensors and is protected by Australian and international copyright laws. You may not reproduce, distribute, modify, or create derivative works from any content on this website without our prior written consent.

7. User Conduct

When using our website and Services, you agree not to:

• Provide false or misleading information in any registration or enquiry form.
• Use the website for any unlawful purpose or in violation of any applicable laws.
• Attempt to gain unauthorised access to any part of the website or its systems.
• Interfere with or disrupt the website's functionality or security features.
• Use automated tools to scrape, harvest, or extract data from the website.

8. Limitation of Liability

To the maximum extent permitted by law, Grandstand Racing Pty Ltd, its directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with your use of the website or Services. Our total liability to you for any claim arising from these Terms shall not exceed the amount of fees you have paid to us in the twelve months preceding the claim. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under Australian Consumer Law.

9. Risk Acknowledgement

Racehorse ownership involves inherent risks, including but not limited to the risk of injury or death of the horse, poor racing performance, and financial loss. Past performance of any horse or syndicate is not indicative of future results. You acknowledge that you have considered these risks before participating in any syndicate and that Grandstand Racing does not guarantee any financial returns.

10. Termination and Exit

Members may request to exit a syndicate in accordance with the terms of their syndicate agreement. Exit provisions, including any applicable fees or waiting periods, are detailed in the relevant syndicate documentation. Grandstand Racing reserves the right to terminate a member's participation for breach of these Terms or the syndicate agreement, with reasonable notice.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of New South Wales, Australia. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of New South Wales.
